1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Business," "you," or "your") and Skydatasol E-Commerce ("Skydatasol," "we," "our," or "us"). By accessing our website, submitting an onboarding application, or entering into a Service Level Agreement (SLA) with Skydatasol, you agree to be bound by these Terms.

Important: Skydatasol operates exclusively on a B2B (business-to-business) basis through formal Service Level Agreements. Individual consumers and non-contractual buyers are not eligible to use our services.

2. Eligibility and Onboarding

2.1 Eligible Entities

Our services are available only to:

  • Registered businesses and corporations with verifiable legal standing
  • Industrial manufacturers and bulk suppliers
  • Technology and infrastructure providers
  • Security, energy, and engineering companies
  • Approved distributors and logistics partners
  • Other qualified commercial entities approved by Skydatasol

2.2 Application Process

All businesses must complete our onboarding application and undergo verification checks. Submission of an application does not guarantee approval. Skydatasol reserves the right to accept or reject any application at its sole discretion.

2.3 Required Documentation

Approved businesses must provide:

  • Certificate of Incorporation
  • VAT Registration (if applicable)
  • Proof of Business Address
  • Director/Officer Identification
  • Trade References
  • Compliance Certifications
  • Any other documentation reasonably requested by Skydatasol

3. Service Level Agreements (SLA)

3.1 SLA Requirement

All commercial relationships with Skydatasol are governed by a formal Service Level Agreement. No products or services may be listed, purchased, or sold without an executed SLA.

3.2 SLA Components

Each SLA defines:

  • Product scope and categories
  • Minimum service performance standards
  • Delivery timelines and logistics responsibilities
  • Pricing structures and financial terms
  • Compliance obligations
  • Data handling and cybersecurity requirements
  • Dispute resolution procedures
  • Term and termination provisions

3.3 SLA Precedence

In the event of any conflict between these Terms and a specific SLA, the SLA shall take precedence with respect to the subject matter covered by the SLA.

4. Product Listings and Standards

4.1 Listing Requirements

All products must meet Skydatasol's quality, authenticity, and traceability standards. Products must comply with all applicable laws, regulations, and safety standards.

4.2 Product Authenticity

Sellers warrant that all listed products are authentic, properly sourced, and accurately described. Counterfeit, stolen, or misrepresented products are strictly prohibited.

4.3 Prohibited Items

The following may not be listed or sold through our platform:

  • Illegal, counterfeit, or stolen goods
  • Items that violate intellectual property rights
  • Hazardous materials not properly certified
  • Products that do not meet regulatory compliance standards
  • Any items prohibited by applicable law or regulation

5. Pricing and Payment

5.1 Pricing

All pricing is governed by the applicable SLA. Prices are subject to change with appropriate notice as specified in the SLA.

5.2 Payment Methods

We accept the following payment methods as specified in your SLA:

  • Fiat payments via PayPal
  • Crypto-enabled settlements
  • Integration with Flash Crypto Finance
  • Future support for Lighter Ledger Pound (LLP)
  • Other methods as mutually agreed

5.3 Payment Terms

Payment terms, including due dates, penalties for late payment, and settlement procedures, are defined in your SLA.

6. Delivery and Fulfilment

6.1 Fulfilment Models

Products may be fulfilled through:

  • Direct Fulfilment (Vendor Managed)
  • Integrated Logistics (Skydatasol Mobility)
  • Hybrid Distribution Models

6.2 Delivery Obligations

Delivery timelines, logistics responsibilities, and performance standards are defined in your SLA. Failure to meet delivery obligations may result in penalties as specified in the SLA.

7. Compliance and Security

7.1 Regulatory Compliance

All parties must comply with applicable trade regulations, safety standards, data protection requirements, and other legal obligations.

7.2 Cybersecurity Standards

All businesses operating on our platform must adhere to advanced cybersecurity standards and data protection frameworks as specified in the SLA.

7.3 Audits and Inspections

Skydatasol reserves the right to conduct audits and inspections to ensure compliance with SLA terms and applicable regulations.

8. Intellectual Property

All content on the Skydatasol platform, including but not limited to text, graphics, logos, images, software, and trademarks, is the property of Skydatasol or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our express written permission.

9. Limitation of Liability

To the fullest extent permitted by law, Skydatasol shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to these Terms or your use of our services.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to Skydatasol in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Skydatasol, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your violation of these Terms or any SLA
  • Your violation of any law or regulation
  • Your violation of any third-party rights
  • Products you list or sell through our platform
  • Your negligence or willful misconduct

11. Termination

11.1 Termination by Skydatasol

We may suspend or terminate your access to our services immediately, without notice, for any breach of these Terms, violation of applicable laws, or any other reason at our sole discretion.

11.2 Termination of SLA

Termination of specific SLAs is governed by the terms of each individual agreement.

11.3 Effect of Termination

Upon termination, you must immediately cease all use of our services and platform. Any provisions that by their nature should survive termination shall survive, including but not limited to ownership, warranty disclaimers, indemnification, and limitations of liability.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

12.2 Arbitration

These Terms, together with any applicable SLA and our Privacy Policy, constitute the entire agreement between you and Skydatasol regarding your use of our services.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
